It's more than likely because Verizon and Unicel overlap in those areas of Washington, New York, and Vermont. I'm hoping that they aren't divesting EVERYTHING in Washington and Vermont because they don't overlap everywhere. Also, this is just something the DOJ wants to happen before Verizon acquires Alltel because there's going to be a lot of divestures with them too.

Yes.. VZ bought out Unicell also so regulators are afraid of too little competition and an increase in roaming rates because of this buyout as well as the Alltel one.

Some Info "The markets that DOJ wants Verizon divestitures are in Vermont, New York, and Washington." "DOJ said Verizon and Unicel are the most significant competitors in Vermont's two Rural Service Areas, or RSAs, and the Burlington Metropolitan Statistical Area. The two companies also are the top competitors in one RSA in New York and two RSAs in Washington."

Thats interesting, why are they worried about such a small carrier as Unicel??

Even if they are a small carrier they still control many areas and they are also provide roaming services. Competition will go down in the area so it’s not the size of this company it’s the fact that one more competition entity would be absorbed by Verizon. Moreover, the Alltel deal also provides even lower competition in certain areas. I think the DOJ is looking at both of those things very carefully. Roaming and competition are key.
