They also agree to rules and regulations to operate the business. Sometimes those rules happen to be "Don't do anti-competitive things."

The FCC market analysis reports have consistently shown over the past few years that the cellular marketplace is not robustly competitive.
Calling out other firms whose subscriber base is 1/10 of your own and labeling them "robust competitors" is hogwash. Verizon will be the only comparable competitor and Sprint will be left to wither and die so Verizon can scoop up what's left of them for pennies on the dollar when they file bankruptcy in three years if thus goes through without some major, major stipulations.
An industry in which three firms control over 85% of the marketplace is bad news.

The issue at hand is that efficiency is NOT the only goal to look at. It doesn't matter how much good will come to AT&T out of the deal if it harms the larger marketplace.

Actually, no. If "Super AT&T" is able to erect cell sites in zones A and B, why couldn't the carriers currently do that right now? T-Mobile owns spectrum in zone A, they place a cell site to cover zone A; AT&T owns spectrum in zone B, they place a cell site to cover zone B. Both carriers offer each other fair...
