I'm not talking about downloading someone else's work either.
You have to consider that most manufacturers make their own User Interface. Just because Google pushed out Gingerbread... that doesn't "Smart Life", touchwiz, or whatever their interface is called, work with the new OS.
Also drivers have to be re-written/updated. Look at XP to Vista update as an example of how that can get complicated.
Also "carrier" software has to be verified as working with the new OS... new Drivers... new UI.
Many layers to get working. Not exactly easy by any stretch of the imagination.
Mods, while they do work, generally don't have the same level of reviews and requirements placed on them. They don't have to get UI or Carrier stuff working right (or at all... which can be a bonus in parts). Nor will they have the same negative press if they brick your phone.
