I imagine they'll have to divest some PCS spectrum for this deal, but much of the AWS spectrum is essentially what they already used to own (and the gov't seemed fine with) before they handed a bunch to T-Mobile as part of the break-up package when that merger failed.

Turns out AT&T just revoked their offer. Something about upsetting some guy on some board who didn't matter to them at all.
