Softbank's LTE network uses the same standards and frequencies as Clearwire's planned LTE network, which means compatible handsets. The combined company would have somewhere between 80 and 90 Million customers, giving them greater leverage to negotiate with handset and equipment suppliers. Softbank has probably also reached the limit of domestic expansion in Japan and needs to look elsewhere for growth. In spite of it's size Sprint's market cap makes it a cheap buy for Softbank. As for Sprint, they just plain need the money.

As a Sprint shareholder I wouldn't mind it one bit since I bought the stock for just over two bucks a share, but I think Sprint made a huge mistake not closing the deal they negotiated for MetroPCS earlier this year.
