Motorola Takes First Legal Step Towards Company Split

Motorola today took one of the first steps necessary it is planned mobile handset business separation. Motorola filed an initial Form 10 Registration Statement with the U.S. Securities and Exchange Commission. Motorola has created a special holding company, called Motorola SpinCo Holdings Corporation, which will act as a subsidiary of Motorola for the time being and will eventually own the handset business. Motorola is also giving the two separate business units new names. Motorola Inc. will become Motorola Solutions Inc., and will be responsible for Motorola's Enterprise Mobility Solutions and Networks businesses. The mobile handset and home set-top box businesses will be called Motorola Mobility, Inc., and will fall under the purview of Motorola SpinCo. Motorola expects the separation to be completed during the first quarter of 2011.
